MJH Law Firm acts as legal advisor to Shoper S.A. and Selling Shareholders in the IPO process.

MJH advised Shoper S.A. and the Selling Shareholders on their initial public offering (IPO).

The law firm MJH Moskwa, Jarmul, Haładyj i Partnerzy – Adwokaci i Radcowie Prawni spółka partnerska acted as legal advisor to Shoper S.A. and the Selling Shareholders in connection with the initial public offering (IPO) and the admission and introduction of the company's shares to trading on the regulated market operated by the Warsaw Stock Exchange (WSE).

The value of the offering amounted to over PLN 363 million, making it one of the largest public offerings in recent years. The IPO attracted enormous interest from investors – the reduction in subscriptions in the individual investor tranche amounted to 92.5%. Shoper's shares debuted on the WSE on 9 July 2021.

The public offering covered shares representing approximately 27.11% of the share capital and 27.50% of the votes at the General Meeting (including approximately 2.5% of shares under the stabilisation option). The shares were offered by the company's existing shareholders: the private equity fund V4C POLAND PLUS FUND S.C.A. SICAV FIAR, Modhaus sp. z o.o., KFF Sarl, Krzysztof Krawczyk and Rafał Krawczyk.

Shoper S.A. is the owner of Poland's most popular e-commerce platform operating in the SaaS (Software as a Service) model, offering entrepreneurs a comprehensive ecosystem for conducting, managing and developing online sales. As part of its additional services, Shoper provides, among other things, solutions in the areas of marketing, logistics and payments.

The scope of MJH's advisory services included comprehensive legal support in the preparation and execution of the public offering, as well as corporate services for Shoper and the Selling Shareholders, including preparing the company to operate as a public company. MJH also advised on labour law, including the development of employee stock option plans (ESOPs).
