MJH advised Shoper S.A. on the acquisition of Shoplo sp. z o.o.
The law firm MJH Moskwa, Jarmul, Haładyj i Partnerzy – Adwokaci i Radcowie Prawni spółka partnerska advised Shoper S.A. on the acquisition of shares in Shoplo sp. z o.o. (“Shoplo”) and on the conclusion of agreements accompanying the acquisition.
The team was led by Paweł Moskwa (Partner), with the participation of Jan Jarmul (Partner), Łukasz Błażejczyk (Partner) and Tomasz Rutkowski (Partner).
As a result of the acquisition of Shoplo, Shoper S.A. indirectly acquired the rights to the Shoplo brand, the rights and obligations arising from agreements concluded by Shoplo with customers, resellers and business partners, as well as the rights to internet domains and content published on websites and social media profiles belonging to Shoplo.
Simultaneously with the conclusion of the share purchase agreement, Shoplo signed a service agreement with an entity from the SumUp group, the purpose of which is to ensure continuity and maintain the current level of customer service for Shoplo until the full migration to the Shoper platform.
Shoplo is the third most popular provider of SaaS online stores for small and medium-sized enterprises (SMEs) on the Polish market. As of the transaction date, the company served approximately 4,700 customers operating online stores.
