MJH advised Modern Commerce S.A. on the acquisition of IT Fashion Polska Group & Partners (Moliera2.com).
The law firm MJH Moskwa, Jarmul, Haładyj i Partnerzy – Adwokaci i Radcowie Prawni spółka partnerska advised Modern Commerce S.A., a company listed on the NewConnect market, on the conclusion of an investment agreement concerning the acquisition of 100% of shares in IT Fashion Polska Group & Partners sp. z o.o. (ITF) – the owner of the Moliera2.com brand.
The transaction documentation was signed on 19 May 2021.
ITF is the sole owner of the Moliera2.com online store, which offers luxury and premium brand clothing, footwear and accessories. Six brick-and-mortar boutiques also operate under the Moliera2 brand in selected cities in Poland – Warsaw, Poznań, Katowice, Sopot and Zakopane.
The transaction is multi-stage. In the first stage, Modern Commerce will acquire 80% of ITF's shares by purchasing shares and contributing part of them to cover Modern Commerce's increased share capital. The remaining 20% of shares are to be acquired in 2022–2023.
For the purposes of the acquisition, Modern Commerce plans to conduct a public offering of new shares with a value of not less than PLN 60 million.
The scope of MJH's advisory services included comprehensive transaction support, including conducting due diligence on ITF and preparing and negotiating transaction documentation.
